Confidentiality & Non-Disclosure Agreement (NDA)

This Confidentiality and Non-Disclosure Agreement (“Agreement”) is made and entered into by the undersigned (“Recipient” or “Potential Buyer”) in connection with the potential purchase of a retail center investment property located at 1632-1650 County Road E East Vadnais Heights MN 55110 (“Property”).

  1. Confidential Information
    The Recipient acknowledges that they may receive or have access to confidential and proprietary information related to the Property, including but not limited to financial data, tenant leases, rent rolls, site plans, property condition reports, and any other non-public information (“Confidential Information”).
  2. Use and Disclosure
    The Recipient agrees to use the Confidential Information solely for the purpose of evaluating a potential purchase of the Property and shall not disclose it to any third party without prior written consent, except to Recipient’s advisors (e.g., attorneys, accountants) who agree to be bound by similar confidentiality obligations and not contact any tenants without prior written consent.
  3. Return or Destruction of Materials

The Recipient shall promptly return or destroy all documents, electronic records, and other materials containing Confidential Information, including any copies or notes derived therefrom, upon completion of the evaluation process or if the Recipient decides not to proceed with a transaction involving the Property. If destroyed, the Recipient shall take reasonable steps to ensure complete deletion.

  1. No Obligation to Sell
    Nothing in this Agreement obligates the Owner or their representatives to sell the Property or to proceed with any transaction.
  2. No Representation or Warranty
    All Confidential Information is provided “as is” without warranty of any kind. The Recipient is responsible for its own due diligence and evaluation of the Property.
  3. Term
    This Agreement shall remain in effect for a period of one (1) year from the date below.
  4. Remedies
    The Owner shall be entitled to injunctive relief, in addition to other remedies available at law or equity, for any breach of this Agreement.
  5. Miscellaneous
    This Agreement shall be governed by the laws of the State of Minnesota. This Agreement may be signed electronically and in counterparts.
